By signing up as an Affiliate, the parties agree to be bound by: (i) Part A: Key Commercial Terms; and (ii) Part B: the Terms and Conditions (together “this Agreement”)

KEY COMMERCIAL TERMS | ||

PART B: TERMS AND CONDITIONS
Subject to prior termination in accordance with this Agreement, this Agreement shall commence on the Commencement Date and shall expire after the Initial Term. The parties may mutually agree in writing to renew or extend this Agreement.
- GRANT OF LICENCE
- The Licensor hereby grants to the Licensee, during the Term, a non-transferable, non-sub licensable, non-exclusive licence in the Territory to use the SOSTAC® trademark any SOSTAC® collateral to promote the SOSTAC® Online training courses, namely SOSTAC® Affiliate course and the SOSTAC® Certified Planner course.
- The Licensee acknowledges that the SOSTAC® Package is the exclusive property of the Licensor and shall not assert any claim of ownership of the SOSTAC® trademark, the SOSTAC® courses, or collateral by virtue of the Licensee’s use of any aspect of the SOSTAC® or its package.
- PAYMENT OF COMMISSION
- The Licensor shall pay the Licensee, once a year, a 20% commission (or give 20% discount to the student registering ) for each student registration that comes directly from the licensee site. Commissions are calculated for the period ending 31st December each year and paid within 30 days.
- All amounts payable under this Agreement shall be exclusive of VAT or relevant local sales taxes (if any). Any relevant local sales taxes will be paid by the licensee at the rate and in the manner for the time being prescribed by law.
- All commission payments will be made to the bank which you specify in the online affiliate registration form.
- USE OF THE SOSTAC® BRAND AND PACKAGE
- The Licensee shall ensure that:
- Whenever it uses the SOSTAC Trade Mark such use shall be accompanied by use of the â sign;
- The initial reference to SOSTAC®, whether in a talk, presentation, slide show, video, article, web site, social media, online discussion or any other means, is as follows: ‘PR Smith’s SOSTAC®’.
- it shall not use any of the SOSTAC® brand or any of its courses or packages in any way or do or permit any act to be done which would or might: (i) jeopardise or invalidate any registration of the registered Trade Marks; (ii) prejudice the right or title of the Licensor to any of the SOSTAC® Package; (iii) allow any of the Trade Marks to become generic, lose its distinctiveness, become liable to mislead the public; or (iv) be materially detrimental to or inconsistent with the good name, goodwill, reputation and image of the Licensor; and the Licensee shall immediately cease any such use or act as the Licensor may reasonably require; and
- it shall only use the SOSTAC® Package for the Purpose (and for no other purpose) and only during the Term (and not after this Agreement has terminated or expired) and, without limiting the foregoing, not write any books or courses (online or offline) (a) about SOSTAC® or (b) with SOSTAC® in the title or sub title
- LIMITATION OF LIABILITY
- Neither party excludes or limits its liability under this Agreement for: (a) death or personal injury caused by its negligence; or (b) fraudulent misrepresentation; or (c) any other type of liability which cannot by law be excluded or limited.
- The provisions of this clause shall survive the termination or expiry of this Agreement.
- TERMINATION
- The Licensor may terminate this Agreement by giving written notice to the Licensee if the Licensee commits any material breach of any of the provisions of this Agreement and either: (a) the breach is not capable of remedy; or (b) if the breach is capable of remedy, the Licensee fails to remedy it within 30 days after receiving a written notice from the Licensor containing full particulars of the material breach and requiring it to be remedied.
- In the event of termination or expiry of this Agreement howsoever arising:
- the Licensee shall do nothing after the expiry or termination of this Agreement which might lead any person to believe that the Licensee is still licensed to use the SOSTAC® Marketing Planning Template or is in any way connected with the Licensor; and
- for the avoidance of doubt upon expiration of this agreement the licensee will cease to use promote , or in any way, trade using the SOSTAC® brand or any of its packages. All SOSTAC® collateral will be destroyed and web pages permanently deleted within 10 days.
- all provisions of this Agreement which in order to give effect to their meaning need to survive its termination shall remain in full force and effect after termination or expiry, including without limitation this clause 6.
- GENERAL
- This Agreement and the documents referred to in it constitute the whole agreement between the parties, and supersede all previous agreements between the parties relating to its subject matter.
- Each of the parties acknowledges and agrees that, in entering into this Agreement, it has not relied on, and shall have no right or remedy in respect of, any statement, representation, assurance or warranty (whether negligently or innocently made) other than as expressly set out in this Agreement. Nothing in this clause shall limit or exclude any liability for fraud.
- No variation of this Agreement shall be effective unless it is in writing and signed by the parties (or their authorised representatives).
- Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, nor authorise either party to make or enter into any commitments for or on behalf of the other party other than the recruitment of students to take the aforementioned SOSTAC® online courses.
- GOVERNING LAW AND JURISDICTION
- This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
- The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).

How do I promote my affiliate URL?
There are 2 ways to promote your Affiliate URL:
- Copy and paste the link (found in the Affiliate URL tab) on your website or social media.
- Copy and embed the banner code (found in the Marketing Collateral tab) on your website.
How can I monitor the performance of my Affiliate URL?
To see how your link is performing, click on the Account Summary tab to view the summary of your link performance. You can also view the number of your referrals vs. the number of link clicks when you visit your Referrals tab. Details of your successful referrals can be found under Delegate Details tab.
How do you track successful registrations from my Affiliate URL?
We use an affiliate cookie to track the number of clicks and referrals you generated. The cookie duration is set to 30 days. Cookie Duration determines how long a cookie will last from the click. If a user clicks on your Affiliate URL but decides to register after 31 days, his referral will not be credited to you.
How do I log back in?
You can login to your Affiliate Dashboard by clicking on the LOGIN link found on the top right hand corner of your screen.
When will I get paid?
You will get paid every 31st of December every year. The payment will be transferred to the bank account within 30 days. Paul will also email you to confirm your annual payment.
